These Terms of Service apply to your access to and use of Structivo, including our website, web app, mobile-accessible app, software, services, features, support, documentation and related tools.

By creating an account, accessing Structivo, inviting users, joining a company account, using the service, starting a subscription, or continuing to use Structivo after being notified of these Terms, you agree to these Terms.

If you are using Structivo on behalf of a business, company, partnership, sole trader business, contractor, employer or other organisation, you confirm that you have authority to accept these Terms on behalf of that organisation. In that case, “you” and “Customer” means that organisation.

If you do not agree to these Terms, you must not use Structivo.

These Terms should be read together with our Privacy Policy and any other notices shown in Structivo.

1. Definitions

In these Terms:

“Structivo”, “we”, “us”, or “our” means Structivo Pty Ltd.

“Customer” means the business, company, sole trader, employer, contractor or organisation that creates or manages a company account in Structivo.

“Admin” means a user who manages a Customer account, including workers, job sites, rosters, timesheets, pay settings, documents, billing, company settings or related features.

“Worker” means a user who is invited, added or approved by a Customer to use Structivo for work-related purposes, including clock-in, clock-out, shift viewing, timesheets, documents, notifications, estimated pay summaries and related features.

“User” means any person who accesses or uses Structivo, including Admins and Workers.

“Customer Data” means information, records, files, documents, location data, timesheets, pay-related inputs, job site details, worker details, company details and other data submitted to, stored in, or generated through Structivo by or for a Customer.

“Services” means the Structivo software, website, app, features, support, documentation and related services.

“Pay Summary” means an estimated pay-related summary generated from recorded hours, approved timesheets and Customer-configured rates. A Pay Summary is not an official payslip unless the Customer separately verifies and issues it through its own lawful payroll process.

2. What Structivo does

Structivo provides construction workforce management software.

Depending on your plan and configuration, Structivo may include features such as:

Structivo is a software platform. Structivo does not employ Workers, supervise construction work, run your business, provide legal advice, provide accounting advice, provide tax advice, provide payroll bureau services, process payroll, move money, calculate tax or superannuation, determine awards or legal entitlements, or guarantee compliance with employment laws.

3. Account registration

To use Structivo, you may need to create an account and provide accurate information, including your name, email address, phone number, company details and other required information.

You agree that:

We may require email verification, phone verification, OTP verification, company verification, ABN checks, billing verification or other reasonable checks before allowing access to some features.

4. Admin authority and company accounts

If you create or manage a company account, you confirm that:

If there is a dispute about who controls a company account, we may suspend, restrict or delay access while the dispute is investigated. We may ask for evidence of authority before changing account ownership.

We are not responsible for internal business disputes between owners, directors, managers, employees, contractors, Workers or Admins of a Customer.

5. Worker accounts

Workers may only use Structivo for lawful work-related purposes connected to the Customer who invited, added or approved them.

Workers must not:

A Worker’s access may be controlled by the Customer. For example, a Customer may approve, reject, archive, deactivate, reactivate or remove a Worker from its company account.

Structivo is not responsible for employment decisions made by a Customer, including hiring, firing, pay, discipline, rosters, approval or rejection of timesheets, workplace disputes or management decisions.

6. Privacy and personal information

Your use of Structivo is also governed by our Privacy Policy.

By using Structivo, you acknowledge that Structivo may collect, use, store, process and disclose personal information as described in the Privacy Policy. This may include account details, company details, worker details, location information, attendance records, timesheets, pay-related inputs, device information, notification details, billing information and support communications.

Customers are responsible for making sure they have the required rights, notices, consents, policies and lawful basis to provide Customer Data to Structivo and to use Structivo with their Workers.

Where a Customer uses Structivo to manage Workers, the Customer remains responsible for its own legal obligations to those Workers.

7. Location and GPS features

Structivo may include GPS, geofencing and location-based attendance features.

These features may collect or process location information when a Worker uses features such as clock-in, clock-out, site verification, attendance records or related workforce management functions.

Customers are responsible for:

Structivo is not responsible for a Customer using GPS, geofencing or location features unlawfully.

Customers must not use Structivo for hidden surveillance, unlawful monitoring, stalking, harassment or tracking Workers outside a lawful work-related purpose.

Workers should not use location features while driving or where doing so would be unsafe.

8. Workplace surveillance and worker notice

Customers must comply with all workplace surveillance and monitoring laws that apply to them.

This may include obligations to provide written notice, maintain workplace policies, explain surveillance practices, obtain agreement, or give Workers access to relevant information before using location, monitoring or notification features.

Structivo may provide tools, notices, banners, settings or templates to help Customers communicate with Workers, but these tools do not replace the Customer’s legal obligations.

Customers should obtain independent legal advice before using Structivo’s GPS or monitoring features if they are unsure about their obligations.

9. Timesheets, attendance and records

Structivo may allow Customers and Workers to create, view, submit, approve, reject, correct, export or manage attendance and timesheet records.

Customers are responsible for:

Structivo may include audit logs, correction requests, locked records, approval flows, rejection reasons, exports and related controls. These features are designed to support better record management, but they do not guarantee legal compliance.

Customers remain responsible for complying with all employment, workplace, payroll and record-keeping obligations.

10. Pay summaries and payroll support

Structivo may include pay summary and payroll support features. These features may calculate estimated pay totals using approved timesheets, recorded hours, overtime settings and rates configured by the Customer.

Structivo is not payroll software, a payroll provider, an accounting system, a tax system, a superannuation system, a Fair Work compliance system, or a substitute for a qualified payroll officer, accountant, bookkeeper, lawyer or Fair Work review.

Structivo does not:

Any pay amounts shown in Structivo are estimates only, based on the information and rates entered or configured by the Customer.

Customers are responsible for:

Structivo helps calculate estimated pay summaries from approved timesheets and company-configured rates. The Customer remains responsible for final payroll, legal compliance and payment of Workers.

11. Pay summary documents

Structivo may generate pay summary documents for review.

Pay summary documents are not official payslips unless the Customer separately verifies them and uses them in accordance with applicable payroll, tax, superannuation and employment laws.

Workers should treat any pay amount shown in Structivo as an estimate unless their employer confirms otherwise through its official payroll process.

Customers should review all pay summaries before using them for payroll, accounting or payment purposes.

12. Job sites, rosters and notifications

Structivo may allow Customers to create job sites, assign Workers, create rosters, send notifications, cancel shifts, update shifts or manage related work activities.

Customers are responsible for ensuring all roster, job site and shift information is accurate and lawful.

Push notifications, emails, SMS, browser notifications or in-app notifications may be delayed, blocked, unavailable or affected by user device settings, browser settings, internet connection, third-party services or operating system restrictions.

Structivo does not guarantee that every notification will be delivered instantly or at all.

Customers should not rely solely on Structivo notifications for emergency communications, safety-critical instructions or legally required notices.

13. Worker documents and uploaded content

Structivo may allow Users to upload, store or manage documents, images, files, certificates, licences, employment documents, site documents or other content.

You must not upload content that:

Customers are responsible for checking whether uploaded documents are accurate, current and legally sufficient.

Structivo may remove or restrict access to content where reasonably necessary to protect the service, comply with law, investigate misuse or respond to a complaint.

14. Subscriptions, plans and billing

Structivo may offer free trials, paid plans, monthly subscriptions, annual subscriptions, custom enterprise plans, add-ons or usage-based features.

Plan inclusions, worker limits, site limits, prices, billing periods and features are shown at signup, checkout, in the app or in written agreement with you.

You agree to pay all fees for the plan you select.

Unless stated otherwise:

We may change our prices or plan inclusions from time to time. For existing Customers, we will give reasonable notice of material pricing changes before they take effect, unless the change is required urgently for legal, security, tax or operational reasons.

If you do not agree to a material pricing change, you may cancel before the change takes effect.

15. Free trials

If we offer a free trial, the trial period, included features and any limitations will be shown at signup or in the app.

We may refuse, limit or cancel a free trial if we reasonably believe there is misuse, duplicate trial abuse, fraud, payment risk, security risk or breach of these Terms.

At the end of a free trial, access may end or convert to a paid subscription depending on the trial terms shown to you.

16. Cancellations and refunds

You may cancel your subscription through the app, billing portal or by contacting us.

Cancellation generally stops future renewals. Unless required by law or expressly agreed in writing, cancellation does not automatically refund fees already paid for the current billing period.

Nothing in these Terms excludes rights you may have under the Australian Consumer Law or other non-excludable laws.

If Structivo fails to provide a service with guarantees that cannot be excluded under law, you may be entitled to remedies required by law.

We may choose to provide a refund, credit or extension at our discretion, but doing so once does not require us to do so again.

17. Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right, remedy or protection under the Australian Consumer Law or any other law that cannot legally be excluded.

To the maximum extent permitted by law, where we are allowed to limit our liability for a failure to comply with a consumer guarantee, our liability is limited to one or more of the following:

18. Acceptable use

You must not use Structivo to:

19. Security

We take reasonable steps to protect Structivo and the information we hold.

However, no system is completely secure. You are responsible for:

We may notify affected Customers or Users of security incidents where required by law or where we consider it appropriate.

20. Customer Data

As between you and Structivo, Customer Data remains owned by the Customer or the relevant rights holder.

You grant Structivo a licence to host, process, transmit, display, store, back up, analyse and use Customer Data as reasonably necessary to:

We may use aggregated or de-identified information for analytics, service improvement, reporting and business purposes, provided it does not reasonably identify a Customer, User or Worker.

21. Data retention, export and deletion

Structivo may provide tools to export certain records, such as timesheets, pay summaries, attendance records or worker information.

Customers are responsible for exporting and keeping copies of records they are legally required to retain.

If a subscription ends, access to Customer Data may be limited, suspended or deleted after a reasonable period, unless we are required or permitted by law to keep it.

We may retain backup copies, logs, billing records, legal records, tax records, accounting records, security records or other information where reasonably necessary for legal, tax, accounting, security, dispute or operational purposes.

Deletion requests may be subject to legal retention obligations and the rights of the Customer, Workers and other parties.

If a Worker requests deletion of work-related records, we may need to involve the Customer because those records may be controlled by the Customer or required for workplace record-keeping.

22. Third-party services

Structivo may rely on third-party services for hosting, authentication, payments, notifications, analytics, storage, email, maps, monitoring or other functions.

Your use of Structivo may also be affected by third-party platforms, browsers, operating systems, devices, payment providers and app settings.

We are not responsible for third-party services that we do not control, but we will take reasonable steps to use reputable providers where they are part of delivering Structivo.

Third-party services may have their own terms and privacy policies.

23. Intellectual property

Structivo, including its software, design, branding, logos, code, workflows, databases, user interface, documentation and related materials, is owned by or licensed to Structivo Pty Ltd.

You must not copy, reproduce, modify, distribute, sell, lease, reverse engineer or create derivative works from Structivo except as allowed by these Terms or by law.

Using Structivo does not transfer ownership of our intellectual property to you.

You may use Structivo only for your internal business purposes, unless we agree otherwise in writing.

24. Feedback

If you give us feedback, suggestions, ideas, bug reports, feature requests or recommendations, you allow us to use them without restriction or payment to you.

You confirm that your feedback does not contain confidential information that you are not authorised to share.

25. Service availability and changes

We aim to keep Structivo reliable and available, but we do not guarantee uninterrupted or error-free service.

Structivo may be unavailable due to maintenance, updates, outages, third-party failures, internet issues, cyber incidents or events outside our reasonable control.

We may update, improve, add, remove, suspend or change features from time to time.

For material changes that negatively affect paid Customers, we will try to give reasonable notice where practical.

We may make immediate changes where needed for security, legal compliance, fraud prevention, system integrity or urgent operational reasons.

26. Support

We may provide support through email, in-app support, documentation, chat or other channels we make available.

Support availability, response times and support levels may vary depending on your plan.

Unless expressly agreed in writing, we do not guarantee a specific support response time.

27. Suspension and termination by us

We may suspend, restrict or terminate access to Structivo if we reasonably believe that:

Where reasonable, we will give notice and an opportunity to fix the issue before suspending or terminating access. However, we may act immediately where needed for security, legal compliance, fraud prevention, safety or protection of the service.

28. Termination by you

You may stop using Structivo at any time.

Customers may cancel their subscription through the app, billing portal or by contacting us.

Structivo is provided on an “as is” and “as available” basis, except for rights and guarantees that cannot be excluded by law.

To the maximum extent permitted by law, we do not guarantee that:

Structivo’s pay-related features are provided for payroll support only. Structivo does not guarantee that estimated pay totals are legally correct or compliant with any award, enterprise agreement, tax law, superannuation law, payroll law or employment obligation.

Customers must independently review all pay summaries before using them for payroll.

Customers remain responsible for checking records, pay summaries, worker data and compliance obligations.

30. Liability

Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

To the maximum extent permitted by law, Structivo is not liable for:

To the maximum extent permitted by law, our total liability to a Customer for claims connected with Structivo is limited to the fees paid by that Customer to Structivo in the 12 months before the event giving rise to the claim.

This liability cap does not apply to liability that cannot legally be capped, or to our fraud, wilful misconduct or other liability that law does not allow us to limit.

31. Customer indemnity

The Customer indemnifies Structivo against losses, damages, costs, claims and expenses arising from:

This indemnity does not apply to the extent the claim is caused by Structivo’s breach of these Terms, negligence, fraud, wilful misconduct or unlawful conduct.

32. Confidentiality

Each party may receive confidential information from the other.

Confidential information must only be used for the purpose of using, providing, supporting or enforcing Structivo.

Confidential information must not be disclosed except:

33. Marketing and communications

We may send you service-related communications, such as account messages, billing notices, security alerts, support messages, feature updates, roster notifications, clock-in notifications, correction request updates and other operational messages.

Where required by law, marketing communications will include a way to unsubscribe.

You cannot opt out of essential service, security, billing or legal notices while you have an active account.

34. Force majeure

We are not liable for delay or failure to perform caused by events outside our reasonable control, including internet failures, hosting failures, cyberattacks, power outages, natural disasters, industrial action, war, government action, legal changes, pandemics or third-party service failures.

35. Changes to these Terms

We may update these Terms from time to time.

For material changes that negatively affect paid Customers, we will take reasonable steps to give notice before the changes take effect.

Changes may take effect immediately if required for legal, security, fraud prevention or urgent operational reasons.

If you continue using Structivo after updated Terms take effect, you accept the updated Terms.

If you do not agree to updated Terms, you must stop using Structivo and may cancel your subscription.

36. Assignment

You must not assign or transfer your rights or obligations under these Terms without our written consent.

We may assign or transfer our rights or obligations as part of a merger, acquisition, restructure, sale of assets, change of control or business transfer, provided this does not materially reduce your rights under these Terms.

37. Severability

If any part of these Terms is invalid, unlawful or unenforceable, that part will be read down or removed to the extent necessary, and the rest of the Terms will continue to apply.

38. No waiver

If we do not enforce a right immediately, that does not mean we waive that right.

A waiver must be in writing to be effective.

39. Entire agreement

These Terms, together with the Privacy Policy, any plan terms, any written order form, and any other terms expressly agreed in writing, form the agreement between you and Structivo for use of the Services.

If there is inconsistency between documents, the following order applies unless stated otherwise:

  1. written order form or signed agreement;
  2. plan-specific terms;
  3. these Terms;
  4. Privacy Policy;
  5. general website or app information.

40. Governing law and disputes

These Terms are governed by the laws of Victoria, Australia.

The parties submit to the courts of Victoria and the courts that can hear appeals from those courts.

Before starting court proceedings, each party must try to resolve disputes in good faith, unless urgent legal action is needed.

Either party may seek urgent injunctive or protective relief at any time.
